Terms of Service

This is a starting draft for 25 Fathoms to review with counsel before launch. It is not legal advice and should be reviewed before it goes live.

These Terms of Service (the “Terms”) govern your access to and use of ProveFit, a product of 25 Fathoms, LLC (“ProveFit,” “we,” “us,” “our”), including the provefit.app website and the ProveFit service (the “Service”). By creating an account, running a report, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is part of these Terms. If you do not agree, do not use the Service.

Who Can Use ProveFit

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms for that organization. If you access the Service through a school or career center using a cohort code, additional terms in that institution’s agreement with us may also apply.

What ProveFit Is

ProveFit reads your resume against a specific job posting you provide and gives you a report on how a recruiter is likely to read it, along with honest suggestions to strengthen it. The report is produced with automated analysis, including an AI model, and is informational only. It is a tool to help you present your real experience well. It is not career, legal, or professional advice, and it is not a guarantee of any outcome.

Honest Use, Our One Rule

ProveFit is built on one rule: prove, do not inflate. The tool will not invent experience, and neither should you. You are responsible for the accuracy of what you submit and what you ultimately send to an employer. You agree not to use ProveFit to misrepresent your background or anyone else’s.

Your Account

If you create an account, you agree to provide accurate information, to keep your login credentials secure, and to be responsible for all activity under your account. Tell us promptly if you believe your account has been used without your permission. You may not share your account or let others use it.

The Content You Submit

You keep ownership of the resumes, cover letters, and job postings you submit (“Your Content”). You grant us a limited, non-exclusive license to process Your Content solely to provide the Service to you, that is, to generate and deliver your report. You represent that you have the right to submit Your Content, and that if it includes another person’s personal information, you have a lawful basis to share it with us. The report we generate for you is yours to use.

Acceptable Use

You agree not to:

use the Service for any unlawful purpose or to misrepresent your experience;
submit content you do not have the right to submit, or that infringes anyone’s rights;
scrape, copy, or harvest the Service, or access it through automated means except as we permit;
reverse engineer, decompile, or attempt to extract the underlying models or source of the Service;
interfere with or circumvent the security, rate limits, or intended operation of the Service;
use the Service to build or train a competing product or model;
upload malware or attempt to gain unauthorized access to our systems or other users’ data.

Plans, Payment, and Cancellation

Some features are free and others are paid. Your first report may be free, and pilot programs run through schools are free for participating students during the pilot. Where a plan is paid, the price and billing terms are shown before you buy, and payment is processed by our third-party payment provider. Paid subscriptions renew automatically for the stated period until you cancel. You can cancel at any time, and cancellation takes effect at the end of the current billing period. Except where required by law or expressly stated, payments are non-refundable. You are responsible for any applicable taxes.

Schools and Institutions

When the Service is offered through a school or career center, access is typically provided by a cohort code during a pilot or license term. Use in that setting is also governed by our agreement with the institution, including a data-handling addendum. If there is a conflict between these Terms and that institutional agreement for student use, the institutional agreement controls for that use.

Our Intellectual Property

ProveFit, including its name, brand, report format, software, and the models and prompts behind it, belongs to 25 Fathoms, LLC and its licensors. We grant you a limited, revocable, non-transferable license to use the Service for its intended purpose. These Terms do not transfer any of our intellectual property to you.

Feedback

If you send us ideas or suggestions about the Service, you grant us a perpetual, royalty-free license to use them without obligation to you.

Third-Party Services

The Service relies on third-party providers, including a payment processor, an AI model provider, and hosting and storage providers. Your use of those features may be subject to the providers’ own terms. We are not responsible for third-party services we do not control.

No Guarantee of Results

We cannot promise interviews, offers, or any specific result. Hiring depends on many factors outside our control. ProveFit gives you a clearer, more honest read on your resume. What you do with it is up to you.

Disclaimers

We work to keep ProveFit accurate and useful, but the Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. A report is an automated, informed read that may contain errors, not a promise about how any specific recruiter or employer will act. We do not warrant that the Service will be uninterrupted or error-free.

Limitation of Liability

To the fullest extent allowed by law, 25 Fathoms, LLC and its owners, employees, and providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us for the Service in the twelve months before the claim, or one hundred dollars.

Indemnification

You agree to indemnify and hold harmless 25 Fathoms, LLC from claims, losses, and expenses, including reasonable legal fees, arising from your misuse of the Service, your violation of these Terms, or Your Content, including any claim that Your Content infringed a third party’s rights.

Suspension and Termination

You may stop using the Service at any time and delete your account. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Sections that by their nature should survive termination, including ownership, disclaimers, limitation of liability, and governing law, will survive.

Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Before filing a claim, you agree to first contact us and try in good faith to resolve the matter informally. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in Hamilton County, Ohio, and you consent to the personal jurisdiction and venue of those courts.

Changes to These Terms

We may update these Terms from time to time. We will update the date above, and material changes will be noted clearly and, where they affect an active customer, communicated in advance. Continued use of the Service after the effective date of a change means you accept the updated Terms.

Miscellaneous

These Terms, together with the Privacy Policy and any institutional agreement that applies to you, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
